Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and APIArc (“APIArc”, “we”, “us”, or “our”) governing your use of our websites, console, APIs, and related services (the “Services”). By creating an account, purchasing credits, or using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services for an organization, you represent that you have authority to accept these Terms for that organization. “You” then means both you and the organization. You must be at least 18 years old or the minimum age required to enter a contract where you live.
The APIArc service
APIArc provides a unified interface for accessing models and services operated by independent AI providers. We may route a request based on the model you select, provider availability, performance, capacity, compatibility, or reliability. The model catalog and console describe currently available routes, pricing, and technical limits.
We may add, remove, replace, or update models, providers, endpoints, features, and limits. We will try to give reasonable notice when a material change is likely to disrupt ordinary use, but urgent security, compliance, or provider changes may take effect immediately.
Accounts and API keys
- Provide accurate account and billing information.
- Keep passwords, authentication factors, and API keys confidential. Do not publish keys in client-side code, public repositories, or logs.
- You are responsible for activity and charges generated through your account or keys until you revoke them or notify us of unauthorized use.
- Use reasonable key restrictions, separate production and test keys, and rotate credentials when exposure is suspected.
- Do not transfer, resell, or share an account in a way that bypasses plan limits or hides the identity of the responsible user.
Independent AI providers
AI providers are independent third parties, not APIArc agents. When you send a request, you direct us to transmit the content needed to fulfill it to the provider serving the selected model. Provider terms, acceptable-use rules, privacy policies, output restrictions, service limits, and regional requirements also apply to your use of that route.
Review the provider information in our model catalog and the provider policy links in our Privacy Policy. You are responsible for ensuring that your use complies with the policies applicable to the selected provider.
We do not control provider models or outputs and cannot guarantee their accuracy, safety, availability, non-infringement, or suitability.
Your content and model outputs
As between you and APIArc, you retain your rights in content you submit. You grant APIArc a limited, non-exclusive right to process and transmit that content solely to operate, secure, support, and improve the Services. In the standard service, we do not persist prompts, input files, or model outputs after a request completes, and we do not use them to train models.
You represent that you have the rights and permissions needed to submit content and instruct us to process it. You are responsible for reviewing model outputs before relying on, publishing, or using them. Outputs may be incorrect, incomplete, offensive, duplicated for other users, or subject to provider-specific rights and restrictions.
Acceptable use
You must not use the Services to:
- Break applicable law or violate another person’s rights.
- Generate, distribute, or facilitate malware, credential theft, unauthorized access, fraud, spam, or other harmful activity.
- Exploit or harm children, create non-consensual intimate content, or facilitate human trafficking or violence.
- Evade provider safeguards, usage limits, geographic restrictions, content controls, or account enforcement.
- Probe, scan, disrupt, overload, reverse engineer, or interfere with APIArc systems except through an authorized security program.
- Misrepresent AI output as human-generated when disclosure is required, or use output for high-impact decisions without appropriate human review and any legally required safeguards.
- Resell or sublicense the Services unless we have agreed to that use in writing.
Provider acceptable-use policies may impose additional restrictions. If two rules differ, you must follow the more protective rule.
Billing, credits, and taxes
- Prices, rate multipliers, minimum charges, and billing units are shown in the console or model catalog and may change prospectively.
- Usage is measured from APIArc and provider telemetry. Small differences can occur because providers count tokens or units differently.
- You authorize us and our payment processors to charge the selected payment method for purchases, auto-recharge, applicable taxes, and other disclosed fees.
- Promotional or bonus credits may expire, may not be transferred, and have no cash value. Purchased-credit refund eligibility is determined by the checkout terms and applicable law.
- You must report a billing error within 30 days after it appears in your account so we can investigate it promptly.
We may pause requests when a balance is insufficient or a payment is reversed, disputed, expired, or suspected to be fraudulent.
Availability and support
We aim to provide a reliable gateway, but the Services depend on networks and independent providers. We do not promise uninterrupted, error-free, or permanent availability unless a separate written service level agreement says otherwise. Scheduled maintenance, provider outages, rate limits, or safety controls may delay or prevent requests.
Suspension and termination
You may stop using the Services at any time. We may limit, suspend, or terminate access if we reasonably believe there is a security risk, unpaid balance, legal or provider requirement, abuse, or material breach of these Terms. When practical, we will provide notice and an opportunity to correct the issue.
On termination, your right to use the Services ends. Terms that by their nature should survive—including payment obligations, intellectual property provisions, disclaimers, and limits of liability—will survive.
APIArc intellectual property
APIArc and its licensors own the Services, software, documentation, branding, and related intellectual property, excluding your content and third-party provider materials. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services. No other rights are granted by implication.
If you send feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without consent.
Disclaimers
To the maximum extent permitted by law, the Services and all model outputs are provided “as is” and “as available.” APIArc disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.
You are responsible for evaluating outputs and maintaining backups, human review, security controls, and other safeguards appropriate to your use case. Nothing in these Terms excludes a warranty that cannot legally be excluded.
Limits of liability
To the maximum extent permitted by law, APIArc will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from the Services, providers, or model outputs.
To the maximum extent permitted by law, APIArc’s total liability for all claims arising out of or relating to the Services will not exceed the amount you paid APIArc for the Services during the three months before the event giving rise to the claim. These limits do not apply where they are prohibited by law.
Changes to these terms
We may update these Terms to reflect changes to the Services, providers, risk, or law. We will post revised Terms here and update the effective date. If a change materially affects your rights, we will provide additional notice where reasonably required. Continued use after the effective date means you accept the updated Terms.
General terms
You may not assign these Terms without our written consent. We may assign them as part of a reorganization, financing, merger, acquisition, or sale of assets. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver.
These Terms, the Privacy Policy, and any written order or service-level agreement between you and APIArc form the entire agreement for the Services and replace prior discussions about the same subject. Mandatory consumer or data-protection rights under applicable law remain unchanged.
